Terms of Service

This is a draft under legal review and may change. Questions: support@collabs.so.
Agreeing to these terms
These Terms of Service (“Terms”) are an agreement between you and Collabs (“Collabs”, “we”, “us”) for your use of collabs.so, app.collabs.so and related services (the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for a company, you confirm you can bind that company, and “you” includes it.
What Collabs does
Collabs is software that helps subscription brands (“Brands”) work with content creators (“Creators”). Brands create campaigns and invite Creators; Creators accept campaign terms and upload videos; Brands review, approve and launch approved videos as ads on Meta; and Collabs attributes new subscribers and renewals from a Brand’s Shopify store to the Creator videos that brought them in.
Collabs provides the tools. The agreement for each campaign is between the Brand and the Creator, under the Creator Agreement and the terms shown on that campaign. Collabs is not a party to it, is not an agent or employer of either side, and does not guarantee results, sales or earnings.
Accounts
- You must be at least 18 years old (or the age of majority where you live).
- Give accurate information and keep it up to date.
- Keep your password safe. You are responsible for what happens under your account; tell us right away at support@collabs.so if you think it has been misused.
- Brands may invite team members and are responsible for what they do in the Service.
Brand responsibilities
- Connected accounts. You must have authority over any Meta ad account, Facebook Page and Shopify store you connect, and follow Meta’s and Shopify’s terms and policies.
- Ads and spend. Ads created through Collabs start paused. You decide whether and when to turn them on, and you are solely responsible for your ad budgets, spend and billing with Meta. Collabs is not responsible for ad spend.
- Ad content and claims. You are responsible for your ads and briefs complying with law, including advertising, consumer protection, endorsement disclosure (such as the FTC Endorsement Guides) and any health, supplement or cosmetic claim rules.
- Shopper data. You are responsible for having the notices and legal basis to share your store’s order and customer data with us for attribution, and for responding to your shoppers’ privacy requests.
- Creator payments. You are responsible for paying Creators what you owe them under each campaign’s terms.
Creator responsibilities
Creators must follow the Creator Agreement and each campaign’s terms, only upload content they have the right to share, and include any disclosure the law or the platform requires (for example #ad or a paid partnership label). Creators are independent and are responsible for their own taxes.
Attribution and reporting
Collabs matches orders to Creator videos using information such as tracking parameters, ad IDs and order data from connected services. Attribution is an estimate: some orders cannot be matched, and those go to a review list for the Brand rather than being guessed. Ad status and spend come from Meta and may be delayed or revised by Meta. Unless there is an obvious error, Collabs’ attribution records are the record used to calculate credits and amounts owed under campaign terms. Raise any dispute with us within 60 days of the record appearing in the Service.
Your content
You keep ownership of the content you upload. You give Collabs a worldwide, non-exclusive, royalty-free license to host, store, copy, transcode, display and transmit your content only as needed to run the Service, including sending approved videos to Meta when a Brand launches them. This license ends when your content is deleted from the Service, except for copies a Brand is entitled to keep under the Creator Agreement.
Turning off downloads in Collabs limits casual copying but cannot prevent screen recording or other copying by people who can view the content.
Acceptable use
You must not:
- upload content that infringes anyone’s rights, is unlawful, deceptive, hateful, sexually explicit, or harmful to minors;
- make false or unsupported claims about products, or hide that content is paid;
- manipulate attribution, for example with fake orders, self-referrals or altered tracking links;
- access other users’ accounts or data, probe or overload our systems, or scrape the Service;
- copy, resell or reverse engineer the Service except as the law allows.
We may remove content or suspend accounts that break these rules.
Third-party services
The Service connects to services we do not control, including Meta, Shopify, Shopify subscription apps and Mux. Their terms and privacy policies apply to your use of them. If a third party changes or limits its service or access (for example, Meta’s app review), parts of Collabs may stop working, and we are not responsible for that.
Fees
Any fees for Brands are set out in an order form, quote or plan shown before you agree. Unless that document says otherwise, fees are billed in advance, are non-refundable except as stated in our Refund & Cancellation policy, and exclude taxes. Commissions owed to Creators are set by each campaign’s terms.
Early access
Parts of the Service are new and offered as early access or pilot features. They may change, have errors, or be withdrawn, and are provided without any commitment of availability.
Ending your use
You may stop using the Service and close your account at any time. We may suspend or end your access if you break these Terms, if required by law, or if continuing would harm Collabs or others; where reasonable we will tell you first. Sections that by their nature should continue (such as content licenses already granted to Brands, amounts owed, disclaimers, limits of liability and indemnity) survive.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, COLLABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT ATTRIBUTION, AD OR SALES DATA WILL BE COMPLETE OR ACCURATE.
Limits of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, COLLABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR AD SPEND. COLLABS’ TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SERVICE IS LIMITED TO THE GREATER OF THE FEES YOU PAID COLLABS IN THE 12 MONTHS BEFORE THE CLAIM AND US $100. Some places do not allow these limits, so they may not apply to you.
Indemnity
You will defend and compensate Collabs for claims, losses and costs (including reasonable legal fees) arising from your content, your ads, your use of the Service, or your breach of these Terms or the law.
Governing law and disputes
These Terms are governed by the laws of the United States and of the state in which Collabs is organized, without regard to conflict-of-law rules. Before filing any claim, please email support@collabs.so so we can try to resolve it informally within 30 days.
Changes to these Terms
We may update these Terms. We will change the “Last updated” date, and for significant changes we will notify account holders at least 14 days before they take effect. Continuing to use the Service after that means you accept the new Terms.
General
These Terms, together with the policies linked here and any order form, are the whole agreement between you and Collabs about the Service. If part of them can’t be enforced, the rest still applies. Not enforcing a term is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.
